This agreement ("Agreement") is made between Gaze Productions (the "Company") and the local business (the "Participant") who agrees to be featured in the Company's Instagram video series, NoCo Food Finds.

1. By participation in the NoCo Food Finds video series you agree to be charged the agreed upon fee, unless mutually agreed upon otherwise between the Company and the Participant. The Company may offer paid add-ons to the service, including the usage right upgrade, which will be mutually agreed upon before implementation. By agreeing to participate in the series, the Participant acknowledges that they have read and understand this Agreement and agree to be bound by its terms.
2. Ownership of Footage: The Company will own all rights, title, and interest in the footage captured during the production of the video series, including all raw footage, edited footage, and any derivative works. The Participant agrees that they will not use any of the footage for commercial or personal use without the express written permission of the Company.
3. Usage Rights: The Company has the right to use, reproduce, distribute, and display the footage in any medium, including but not limited to, social media, websites, and promotional materials. The Company also has the right to sell the footage to third parties.
4. Consent to Be Filmed: The Participant agrees to be filmed during the production of the video series and consents to the use of their name, image, and likeness in the footage captured. The Participant agrees that they will not be entitled to any compensation for their participation in the video series.
5. Right to Withhold Posting: The Company reserves the right to withhold posting any footage captured during the production of the video series for any reason. The Company will notify the Participant if the footage will not be posted and provide a reason for the decision.
6. Indemnification: The Participant agrees to indemnify and hold harmless the Company, its affiliates, employees, and agents, from any and all claims, liabilities, damages, costs, and expenses, including reasonable attorneys' fees, arising out of or related to the Participant's participation in the video series.
7. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the state where the Company is located.

By agreeing to participate in the NoCo Food Finds video series, the Participant acknowledges that they have read and understand this Agreement and agree to be bound by its terms.
